These terms apply between Sons of Adonis Ltd (Registered in England and Wales, company number 12202136), whose registered office is Clavering House, Clavering Place, Newcastle upon Tyne, NE1 3NG, United Kingdom (“we”) and the merchant who installs Steady Orders (the “app”) on a Shopify store (“you”). By installing the app you accept them. They apply alongside Shopify’s own terms for merchants and apps, which govern your use of Shopify itself.
What the app does
The app lets your wholesale customers set up standing orders in their Shopify customer account, and creates a Shopify draft order (or, where you enable it, an order) for each scheduled date using your store’s catalog pricing and payment terms at that time. You decide the rules: whether buyers may create schedules, what happens when stock is short, how far in advance buyers are reminded, and whether orders complete automatically.
Your responsibilities
- You are responsible for your agreements with your customers, including any standing order you set up on a customer’s behalf and the attestation you record for it.
- You are responsible for reviewing draft orders and held orders that the app places in your attention queue, and for fulfilment, payment collection and returns.
- You must comply with the laws that apply to you, including privacy law for your customers’ data, and you must only use the app with customers who have agreed to receive the emails it sends on your behalf.
Fees
Fees are shown on the Billing page inside the app and charged through Shopify’s billing system to your Shopify invoice. A free trial may apply and is shown before you approve the charge. Usage fees count orders the app created; drafts that are never completed are not charged. If a subscription lapses, the app keeps running for a grace period and then pauses schedules until billing is restored.
Availability
We aim to keep the app available at all times but do not guarantee it. Order creation depends on Shopify’s APIs, your store’s settings and your catalog; when an order cannot be created the app tells you and does not create it later without your decision. We may change or discontinue features with reasonable notice.
Data
How the app handles personal data is described in the privacy policy, which forms part of these terms. Uninstalling the app ends its access to your store and leads to deletion of your data as described there.
Liability
The app is provided as is. To the extent the law allows, we are not liable for lost profits, lost sales or indirect loss arising from use of the app, and our total liability to you in any twelve-month period is limited to the fees you paid for the app in that period. Nothing here limits liability that cannot be limited by law.
Ending the agreement
You may end it at any time by uninstalling the app. We may suspend or end access if you breach these terms or if required by Shopify.
Governing law
These terms are governed by the law of England and Wales, and its courts have jurisdiction over any dispute arising from them.
